API Agreement

API Agreement - January 26th, 2014

IF YOU WISH TO USE AN API (APPLICATION PROGRAMMING INTERFACE) TO ACCESS THE SITE FOR ANY REASON WHATSOEVER, YOU MUST AGREE TO ALL OF THE FOLLOWING TERMS AND CONDITIONS (THE “API TERMS AND CONDITIONS”, WHICH ARE IN ADDITION TO ALL OF THE TERMS AND CONDITIONS SET FORTH IN THE TERMS OF USE AGREEMENT, AND WHICH MAY BE AMENDED BY US AT ANY TIME OR FROM TIME TO TIME WITHOUT SPECIFIC NOTICE TO YOU. THE LATEST API TERMS AND CONDITIONS WILL BE POSTED ON THE SITE (AND APPROPRIATELY DATE-STAMPED), AND YOU SHOULD PERIODICALLY REVIEW ANY AMENDMENTS TO THESE API TERMS AND CONDITIONS. REGARDLESS OF WHETHER OR NOT YOU REVIEW ANY AMENDED API TERMS AND CONDITIONS, YOU WILL BE BOUND BY THE MOST RECENT API TERMS AND CONDITIONS):

  1. you shall confine your use of the Site accessed through any API to the submission of location geocode information to the Site for the purpose of identifying a vehicle location and accessing Vendor information available on or through the Site, with any such use to be subject to the other provisions of these API Terms and Conditions as well as the Terms of Use Agreement and all other terms, conditions, and policies incorporated therein by reference. Any other use of the Site accessed through any API is strictly prohibited;
  2. any access to the Site through the use of any API must (a) utilize an API that has been pre-approved by us for this purpose and that is still in good standing with us; (b) use the authorized API Key that has been issued by us for that API and that has not been revoked by us for any reason; and (c) be through an approved User account that has been opened with us and that is still in good standing with us;
  3. we may monitor your use of any API to access the Site as we see fit in our sole discretion in order to confirm your compliance with these API Terms and Conditions as well as the Terms of Use Agreement and all other terms, conditions, and policies incorporated therein by reference;
  4. any Content or other information that is available on or through the Site and that is accessed through the use of any API must not be saved or stored electronically in any manner whatsoever except for the specific purpose of storing contact information necessary to facilitate payment to a specific Vendor who provides services to you;
  5. any Content or other information that is available on or through the Site and that is accessed through an API must be displayed to the end user in exactly the same order it is displayed on the Site and must include all relevant information. Without limiting the generality of the foregoing, and for illustration purposes, if the information on the Site regarding a particular Vendor includes a featured promotion, that featured promotion must be displayed to the end user who accesses the Site through an API in the same manner as that featured promotion appears on the Site;
  6. all Content or other information that is available on or through the Site and that is accessed through an API must identify TruckDown in general and the Site in particular as the source of that Content or other information;
  7. you will destroy any Content or other information that is available on or through the Site and that you accessed through an API within 24 hours of receiving an e-mail message or other written request to this effect from us; and
  8. access to the Site through an API can be suspended or terminated by us at any time and for any reason which we in our sole discretion consider appropriate.
